• IDE and development environment optimization
• MCP (Model Context Protocol) implementation
• Agent workflow design and development
• Developer training and workshops
• Security and compliance consulting

3. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information as required
• Respond to requests for information in a timely manner
• Ensure appropriate access to systems and personnel as needed
• Comply with all applicable laws and regulations

4. Intellectual Property

Unless otherwise agreed in writing, any custom work product created specifically for you as part of our engagement will be owned by you upon full payment. Our pre-existing intellectual property, methodologies, and tools remain our property and are licensed to you for use in connection with the deliverables.

5. Confidentiality

We maintain strict confidentiality regarding all client information and proprietary code. We will not disclose your confidential information to third parties without your consent, except as required by law.

6. Payment Terms

Payment terms will be specified in individual service agreements. Unless otherwise stated, invoices are due within 30 days of receipt. Late payments may be subject to interest charges as permitted by law.

7. Limitation of Liability

To the maximum extent permitted by law, Nuance Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

8. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that our services will meet your specific requirements or that any particular results will be achieved.

9. Termination

Either party may terminate an engagement with written notice as specified in the applicable service agreement. Upon termination, you remain responsible for payment for all services rendered up to the termination date.

10. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Nuance Technologies operates, without regard to its conflict of law provisions.
